Terms of business

Ordering a chargeable advertising entry can take two different forms:
By sending off the completed order and thus accepting the General Terms and Conditions of Business, the contract shall be valid from the order date for a period of at least 2 years. The contract can not be terminated prior to this. The term of the contract shall be extended automatically by a year at a time if written cancellation is not received by Pro Media Service uG by recorded post from the client at least three months before the contract is due to expire.

By acceptance of one of our quotations sent by post /E-Mail- / Fax- /. In this case, a chargeable advertising entry is placed by sending the signed entry application and shall be valid as of the signature date, but no later than the live date for the contract data for a period of at least 2 years. The contract can not be terminated prior to this. The term of the contract shall be extended automatically by a year at a time if written cancellation is not received by Pro Media Service uG  by recorded post from the client at least three months before the contract is due to expire.

Pro Media Service uG  reserves the right to reject both free and chargeable entry applications without citing reasons. The Pro Media Service uG  database contains ordered, chargeable records of companies and free records. A free entry contains an industry, a company name, an address, telephone number and fax number, plus an internet link to the client’s internet page, providing the client places a return link on its own homepage with a reference to the location map in its advertising entry at Pro Media Service uG. The return link must be well visible on the homepage of the client.

Chargeable advertising entries include the services set out in the price table and are charged in accordance with this table. The client alone shall be liable for the completeness of the information. The contract shall be valid in its entirety, even if the client does not use the entry ordered or only uses is partially. For security reasons (spam) the e-mail and internet addresses are only stored in encrypted form and displayed as a link.

The company date is electronically recorded and saved. in accordance with article 26 BDSG (Federal Data Protection Act). Any user can access the database online By signing, the signatory confirms that it has informed itself about the services of Pro Media Service uG.
The services from Pro Media Service uG  shall only be fulfilled in full after the agreed publication period. The client explicitly declares its consent to the data sent to Pro Media Service uG  being electronically recorded and stored.

The client shall also declare its agreement to Pro Media Service uG  transferring or disclosing the data and the advertising contract to other companies. The client shall also declare that it agrees to Pro Media Service uG  publishing the advertising entry on another internet domain providing this does not have an unreasonable impact on the effectiveness of the advertising entry. This also means that Pro Media Service uG has the right to have the advertising entry published by other publishers or service-providers.

The customer shall be liable for the accuracy of the data. It shall also accept full liability for the content of its data and shall absolve Pro Media Service uG of all copyright and competition law related claims and other claims from third parties. If the entry is missing or incorrect or if that the client has no internet access, the record shall be corrected by Pro Media Service uG within 14 days of receiving a written request from the client. Compensation shall only be paid in the event of malicious intent or gross negligence on the part of Pro Media Service uG.

Verbal agreements shall only become valid when they are confirmed in writing by Pro Media Service uG. As a advance on the anticipated costs of web marketing, editorial costs, licence fees, programming, the purchase of high-performance servers and rent for computer centres, Pro Media Service uG  shall have the right to demand a contractual payment  in advance plus value added tax at the statutory level.

The Pro Media Service uG database contains sample addresses which prove the origin of the data in the event that it is used elsewhere without Pro Media Service uG consent. Misuse of this data shall be penalised by Pro Media Service uG with claims for damages of no less than 10,000 € / 12.000 CHF per case. If one of the terms of this contract is or becomes invalid, this shall not affect the validity of the remaining terms. An invalid term shall be replaced by mutual agreement by a valid term which comes as close as economically possible to the original intent of both parties.

The client gives its consent to being informed by Pro Media Service uG about new products and updates by e-mail if it has given its e-mail address. The client can unsubscribe from the newsletter at any time. If the customer is a merchant registered in the commercial register, then the place of jurisdiction shall be in MA. The normal places of jurisdiction shall continue to apply to other customers.
